Tori is a Corporate attorney with a keen understanding of the complex legal challenges faced by private businesses and non-profits across various sectors. Responsive and perceptive, she is driven to understand each client's distinct goals and values in order to tailor her legal approach and offer creative solutions.
Tori provides comprehensive legal guidance to businesses throughout their lifecycle. This begins with entity formation, drafting and negotiating shareholders and operating agreements, and creating foundational start-up agreements (including licenses, online terms and conditions, and leases). She also assists with growth strategies, including equity and debt financing, negotiating term sheets and investment documents.
At the exit stage, Tori has significant private company mergers and acquisitions experience, advising on both buy-side and sell-side transactions including asset and equity sales, mergers, and reorganizations from start to finish. Tori works closely with all members of the deal team (brokers, bankers, and accountants) to achieve the best economic result for clients.
In addition, Tori represents a large number of not-for-profit, religious, and tax exempt organizations, including charitable and educational 501(c)(3)s, 501(c)(6)s, 501(c)(7)s, churches, US “friends of” organizations, fiscal sponsors, and donor advised funds. Tori helps organizations obtain and maintain state and federal tax-exempt status, navigate charity law and fundraising regulations and restrictions, and obtain IRS and New York State Attorney General approval for various transactions and matters, enabling organizations to thrive in a highly regulated legal landscape.
Prior to joining Meliora, Tori worked as a corporate attorney at Harter Secrest and Emery LLP. She was recognized as one of Super Lawyers’ 2024 Upstate New York Rising Stars.
Tori is a proud Penn State Nittany Lion. When she's not advising clients, Tori can be found exploring Adirondack trails and nature preserves or birding, combining her love of nature, animals, and her local community.
