General counsel services provide a unique solution for businesses that, due to their growth, have a need for more consistent legal support, but are not yet ready to hire a full time in-house counsel or have temporary or specific support needs for their existing in-house team. Some of our corporate and transactional legal services include:
Single Owner Business Formation Package: Includes initial consultation, drafting and filing of necessary formation documents to establish your business (whether as an LLC or corporation). We’ll provide guidance on structuring your business, obtaining necessary licenses, and draft your operating agreement or bylaws.
Multi-Owner Business Formation Package: Intended for businesses with more than one owner—such as husband and wife ownership, two unrelated owners, or separate classes of owners—and includes initial consultation, drafting and filing of necessary formation documents to establish your business (whether as an LLC, corporation, or partnership). Where applicable, this package can address issues such as strategic investors, convertible instruments, preferred returns, special allocations, etc.
Commercial Contracts: We provide a range of services related to commercial contracts, which are tailored to meet your needs, protect your interests, and assess legal soundness. Commercial contract services can include: (a) consultation on terms; (b) review and summary; (c) draft and revision of contracts; and/or (d) negotiation of contracts.
Business Purchase or Sale Services: We have alternative fee structures available for the full spectrum of business transactions, including affiliations, mergers, asset purchases, and stock purchases. We can tailor our services to include the services and support you require, including: (a) evaluation of purchase and sale proposals; (b) due diligence and preparation of due diligence memorandum; (c) preparation and negotiation of Term Sheet/Letter of Intent; and/or (d) draft definitive agreements, exhibits to definitive agreements, and disclosure schedules.
Minority Shareholder/Member or Investor Review of Contracts: We assist minority shareholders or investors with the review of investment documents, which can include: (a) red flag review and consultation and/or (b) negotiation and revision of terms.
Business Dissolutions: Preparing and filing all necessary dissolution documents, resolving outstanding liabilities, and ensuring a smooth wind-down of operations.
Real Estate: Real estate transactions (commercial buy-side and commercial sell-side), and commercial leases.
