Ashley Rothe

Ashley M. Rothe is an Associate with Meliora Law who advises businesses and commercial entities on a wide range of general corporate, business and transactional matters including mergers and acquisitions, entity formation, contract drafting, negotiation and review and general corporate governance and compliance issues.  She often provides transaction counsel that includes drafting and negotiating term sheets, purchase agreements and other transaction documents.  She also advises emerging companies with respect to entity formation, shareholder agreements, operating agreements, confidentiality agreements, employee incentive plans and debt and equity financings.  Ashley understands that not all transactions are the same and strives to understand each client’s unique needs, values and strengths to achieve their goals in an efficient and precise manner.


Ashley began her career as an associate for the London-based firm Allen & Overy LLP (now A&O Shearman LLP) where she specialized in collateralized loan obligation transactions and leveraged loan warehouse financing facilities as part of the securitization group of the international capital markets practice. Most recently she was an associate at Couch White, LLP within the Corporate & Commercial Transaction Group where she focused on developing her drafting and negotiating within the M&A space.  Ashley’s expertise and connection with clients is further shown through her continued recognition as one of Best Lawyers: Ones to Watch in America for 2025 and 2026.


Ashley graduated summa cum laude from Albany Law School where she was an Executive Managing Editor of the Albany Law Review.  While in law school, Ashley interned at the Albany Law School Community Development Clinic, counseling small businesses and non-profits within the Capital Region on entity formation and corporate governance matters.


Born and raised in the Capital Region, Ashley is most often found with her faithful dog, Brady, or trying to keep up with her two nephews.  Occasionally, she can also be found lending a hand on her brother’s farm where they raise highland cows, chickens, turkeys and most recently – ducks!  In and out of the office, Ashley never shies away from a challenge.
