Meliora Law is seeking an experienced attorney to join our Corporate & M&A Practice. This role is ideal for a business-minded attorney who can independently lead transactions, serve as a trusted advisor to clients, and contribute to the continued growth of a dynamic and entrepreneurial firm.
The successful candidate will play a lead role advising business owners, entrepreneurs, and family-owned companies on mergers and acquisitions, succession planning, governance matters, commercial contracts, and strategic business initiatives. We are seeking someone who is practical, responsive, and comfortable taking ownership of complex matters with minimal supervision.

The Opportunity
You will serve as lead counsel on a broad range of corporate and transactional matters, including:
- Mergers, acquisitions, divestitures, and business succession transactions
- Corporate governance and ownership matters
- Commercial contracts and strategic business relationships
- Outside general counsel engagements for businesses across a variety of industries
Responsibilities include:
- Independently managing mergers, acquisitions, divestitures, and other strategic transactions from letter of intent through closing
- Leading due diligence, negotiations, transaction management, and closing processes
- Drafting and negotiating purchase agreements, operating agreements, shareholder agreements, commercial contracts, employment agreements, and related documents
- Advising business owners and management teams on governance, risk management, ownership transitions, and strategic growth initiatives
- Serving as a trusted outside advisor to clients across a variety of industries
- Managing client relationships and serving as a primary point of contact for client matters
- Collaborating with attorneys across the firm’s tax, health care, commercial real estate, trusts and estates, and litigation practices
- Participating in business development, thought leadership, and practice growth initiatives
- Mentoring junior attorneys and contributing to the continued development of the practice

The ideal candidate is capable of stepping into a transaction, identifying what needs to be done, and driving the process forward with confidence and minimal supervision. They are practical, responsive, and solutions-oriented, with a clear understanding that legal advice must be tailored to a client’s business objectives, risk tolerance, and resources.
The attorney who succeeds in this role understands how to deliver sophisticated legal counsel in a manner that is strategic, efficient, and aligned with the realities facing the firm’s clients. Exceptional client service is measured by the ability to deliver thoughtful, actionable advice that helps clients achieve their goals.
Qualifications include:
- J.D. from an accredited law school
- Active admission in New York
- 7+ years of experience in corporate law and transactional practice
- Significant experience independently leading mergers, acquisitions, and other sophisticated business transactions
- Ability to manage transactions from letter of intent through closing, including due diligence, drafting, negotiations, coordination of advisors, and closing execution
- Strong drafting, negotiation, client counseling, and project management skills
- Excellent communication skills and business judgment
- Entrepreneurial mindset and commitment to outstanding client service

Compensation & Benefits
